Terms of service
These terms apply to all services provided by Mr Ai Systems, LLC, a limited liability company registered in the State of Delaware, United States, with its registered address at 131 Continental Dr, Suite 305, Newark, DE 19713, USA ("Mr Ai Systems", "we", "us"), to business customers ("you"). Our services are provided to businesses only, not to consumers.
1. Services
We provide website design and build, hosting and care, local search optimisation (including Google Business Profile management), AI lead systems (such as chat, automated replies and follow-up) and operational automation, as described in your written proposal ("Proposal"). The Proposal sets out the scope, price, timeline and any specific terms for your project.
2. Proposals and acceptance
A Proposal is valid until the date and time stated on it. Prices marked as available until a deadline apply only if the deposit is paid by that deadline; after it, the standard price shown applies. A contract is formed when you pay the deposit or confirm acceptance in writing.
3. Fees and payment
- Prices are as stated in your Proposal. Payments are taken securely through Stripe or another method we agree.
- Services are supplied by a US company. Prices do not include any sales tax or VAT that you may be required to account for in your own country (for example under the UK reverse-charge rules).
- Deposits, balances, monthly plans and refunds are governed by our Refund and cancellation policy.
- We may pause work or hosting if an invoice is more than 14 days overdue, after giving you written notice.
4. Your responsibilities
- Provide accurate content, photos, logos, accreditation details and approvals on time. Delays on your side may move the timeline.
- Confirm that you own or are licensed to use everything you supply to us, and that your business information, reviews and claims are accurate.
- You are responsible for your own legal obligations as a business, including having a privacy policy for enquiries collected through your website and complying with the advertising and consumer rules that apply to your trade.
5. Ownership
Once the build price is paid in full, you own the final website design and content created for you, and your domain is registered in your name. We keep ownership of our general tools, templates, code libraries and know-how, and grant you a permanent licence to use any that form part of your website. We may show your website in our portfolio unless you ask us not to in writing.
6. Concepts
Website concepts we prepare before you become a client are previews only. They are not published as live websites, are marked as not indexed by search engines, and are taken down on request.
7. AI systems
AI assistants and automations we set up follow rules you approve. They identify themselves as automated, do not give prices or binding commitments on your behalf, and pass enquiries to you. You remain responsible for your communications with your customers.
8. No guarantees of results
We will carry out the work with reasonable skill and care. We do not guarantee search rankings, traffic, leads or revenue, which depend on factors outside our control, including search engine changes and your market.
9. Liability
To the extent permitted by law, our total liability under any contract is limited to the fees you paid us in the 3 months before the claim arose, and we are not liable for indirect or consequential loss, loss of profit or loss of data. Nothing in these terms limits liability that cannot be limited by law.
10. Confidentiality and data
We keep your business information confidential and use it only to deliver our services. Where we process personal data on your behalf (for example enquiries from your website), we do so only on your instructions and in line with our Privacy policy.
11. Ending the contract
Either party may end the contract if the other materially breaches it and does not fix the breach within 14 days of written notice. Monthly plans can be cancelled as set out in the Refund and cancellation policy.
12. General
These terms, together with your Proposal, are the whole agreement between us. They are governed by the laws of the State of Delaware, United States, unless your Proposal states otherwise. Questions: austin@mr-ai.io.
